1) DEFINITIONS
In these terms and conditions
“The Company” means Omnitron (UK) Limited and “The Customer” means any person
or organisation purchasing or requesting goods from the Company.
2) PAYMENT
a) Standard payment terms for
customers with agreed credit accounts are 30 days from date of invoice. Orders
from customers who do not have an agreed credit account will only be accepted
against prepayment in full. Any extension of time to pay shall not be effective
unless agreed in writing by the Company.
b) The Company reserves the
right to charge interest on a daily basis from the date payment is due until
the date payment is received. The basis of the interest will be 2% above HSBC
plc base rate from time to time in force.
c) All costs incurred
recovering overdue debts including, without limitation, legal expenses will be
payable by the Customer.
d) The Company may withhold
further supplies in the event of amounts payable being overdue.
e) Prices quoted in Euros and Dollars are indicative only and are based upon the currency exchange rate according to HSBC PLC at the start of each day. Payment will be taken in GBP Sterling and Omnitron UK Ltd will not be held responsible for any fluctuations in any currency exchange rates.
3) PROPERTY and RISK
a) Title of any goods supplied
at any time to the Customer by the Company shall not pass to the Customer until
payment in full for any and all such goods supplied and all other amounts on
any account whatsoever due from the Customer to the Company has been made in
full by the Customer.
b) Until the passing of
property in clause 3a) the Customer shall keep the goods in its possession and
control, intact and in good condition.
c) Goods supplied by the
Company are at the Company’s risk from the time they leave the Company’s
premises until they are delivered to the Customers premises or the advised
delivery address. The Customer will then be responsible for insuring the goods.
4) RETURNS POLICY
a) The Company agrees to the
Customer returning goods for any reason at the Customer’s own cost subject to
the following conditions:
- The Customer informs the
Company within 7 working days of the goods having been delivered to them
of their intention to return the goods to the Company.
- The Customer does so within
30 days of delivery of the goods to them.
- The goods are received by
the Company in the same condition as the Company sent them to the
Customer.
- The Customer will be
responsible for the goods in transit from them to the Company.
b) Subject to these
conditions the Company will reimburse the Customer as soon as possible after
the goods are received and in any event within 10 working days of that date.
c) If the Customer wishes to
return the goods because they are damaged they can be returned free of charge..
d) So that the Company can
take up the matter with the carrier within time limits they place upon us the
Customer must notify the Company of any damage which has occurred in transit
within 3 days of delivery to the Customer.
e) Goods returned will be at
the risk of the Customer and must be in the original packaging as received.
f) If the Customer has
complied with the terms above the Company will either refund the price of the
goods as soon as possible or replace the goods (whichever the customer
prefers). The original delivery charge will not be refunded.
5) INSOLVENCY
Should the Customer become
bankrupt or insolvent and unable to pay any debts owed to the Company the
Company reserves the right to enter the premises of the Customer and collect
goods to the value of this debt whilst accompanied by an authorised agent or
official of the Customer.
6) FORCE MAJEURE
The Company shall not be
liable for any delay or failure to perform any of its obligations if the delay
or failure results from events or circumstances outside its reasonable control,
including but not limited to acts of god, strikes, lock outs, accidents, war,
fire, breakdown of plant or machinery or shortage or unavailability of raw
materials from a natural source of supply and the Company shall be entitled a
reasonable extension of its obligations.
7) GOVERNING LAW
These terms and conditions
shall be governed by and construed in accordance with the law of England and any disputes shall be submitted to the non exclusive jurisdiction of the
English Courts. |
